GENERAL TERMS AND CONDITIONS

These General Terms and Conditions (“the Terms”) together with the License Agreement govern your use of these websites and all services, produced by APIS Europe JSC (hereafter just APIS) and constitute the entire agreement between you and APIS.

By browsing or otherwise using our websites and all associated services, including but not limited to software and Internet-based applications, in any way, you hereby agree to be bound by these legal terms and conditions between you (individually and/or on behalf of a business or organization) and our company APIS Europe JSC. Note however, when you purchase, license or download certain services offered through these websites, such services may be subject to different or additional terms, including but not limited to a separate license agreement, which will be made available to you. You may not use these websites or any associated services if you do not accept these Terms. Note that we may amend the Terms at any time without a prior notice by posting the amended terms on these sites.

The trial version of our services is subjected to all terms and conditions of the License Agreement and the General Terms and Conditions. At the conclusion of the trial period, you should cease all use of the service and its trial content, delete any and all copies of content and/or data, derived to computer during the trial, and destroy any physical copies of such content at your disposal, that have been used for means, other than your information or education. Any re-use or distribution for commercial use is prohibited.

The General Terms and Conditions and the License Agreement are in force for our Services available on mobile devices as well.

User name and Password

To use certain sections of these websites or our services, you will need a user name and password, which you will select as part of the registration process. You may create your own Accounts, or your Accounts may be assigned to you by an administrator, such as your employer or educational institution. If you are using Accounts assigned to you by an administrator, different or additional terms may apply and your administrator may be able to access or disable your account. To protect your Accounts, keep your password confidential. Only you are responsible for maintaining the confidentiality of your accounts and managing the activity on your Accounts. Try not to re-use your Accounts passwords on third-party applications.

You acknowledge our right to refuse to grant you a user name that is already in use, may be illegal, may be protected by trademark or other proprietary interest. You agree to be responsible for all acts and omissions that occur in connection with your password. You represent and warrant that the information provided in your Registration is complete and accurate to the best of your knowledge, and you will inform us of any changes to your Registration information. If you do not provide us with the information, requested by us, we may be unable to supply the services that you request.

It is your responsibility to maintain the confidentiality of the password and you are responsible for all activities that occur under your user name and password. You agree to immediately notify us of any unauthorized use of your password or any other breach of security. We are not responsible for any loss or damage resulting from your failure to protect your user name and password.

Please, don’t misuse our services. For example, don’t interfere with our services or try to access them using a method other than the interface and the instructions that we provide. You are not permitted to modify, print, copy, distribute, transmit, display, store, reproduce, publish, license, sell, create derivative works from, transfer, broadcast in any media, post or frame, or redistribute in any way parts of our services, unless authorised by this License Agreement, a separate written agreement signed by APIS or applicable law. Nor may you reverse engineer or attempt to extract the source code of the used software, unless you have our written permission. We will suspend or stop providing our services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

We are constantly changing and improving our services. We may change, restrict, add or remove functionalities or features, and we may suspend or stop a services altogether, remove or delete any information. We reserve the right to terminate your access and/or use of these Websites and/or your subscription to the services, if we have reasons to believe that you have violated the terms of this Terms and the License Agreement, or if we believe that you have sought, in bad faith, discounts or with any action have tried to injure, harass or disrupt the Websites or APIS and its services or business operations.

Price and Payment

Customer agrees to purchase our services (except those individually negotiated or those subject to an offer for which special offer terms may apply) at the Price, as specified in the relevant annual Subscription Statement or Subscription Renewal notice as applicable. Rates, prices, discounts and offer terms published in Marketing Materials, Trade Terms, on the Websites or otherwise are subject to variation by APIS at any time without prior notice.

The Total Price shall be paid in full in cash, by payment card (being either a debit or credit card) or via bank transfer. If the Total Price is not paid in full by the Due Date APIS may cancel or suspend further access to the services.

Customer may cancel a Contract for services at any time in writing to Customer Services but such termination shall not be effective until the end of the current Subscription Period. Refunds will only be given in exceptional circumstances and entirely at the discretion of APIS. Contracts for services may not otherwise be cancelled unless permitted otherwise by law or with prior written agreement of APIS.

Where Customer is a legal entity (as opposed to a natural person), the person placing the Order warrants and represents that s/he is authorised by Customer to do so and to bind Customer thereby.

Intellectual Property Rights

The websites, and all content appearing therein, are the sole and exclusive property of APIS.Unless otherwise specified, all content of our services is the sole and exclusive property of APIS.

No license or ownership rights in or to any of the content of the websites or services are conveyed to you because of these Terms or your purchase of any service or services. The websites and its content and the services and their content are protected under the laws of copyright and trademark. Unless otherwise permitted by law, you may not reproduce, transmit or distributed any portion of the websites, products or services without our prior consent.

Any portion of this websites or our services may not be copied, reproduced, republished, downloaded, posted, broadcast or transmitted in any way except for your own personal non-commercial use. Any other use requires the prior written permission of APIS. You agree not to adapt, alter or create a derivative work from any of the material contained in these sites or our services or use it for any other purpose other than for your personal non-commercial use. You agree to use these sites and our services only for lawful purposes, and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of these sites or our services by any third party. Such restriction or inhibition includes, without limitation, conduct which is unlawful, or which may harass or cause distress or inconvenience to any person and the transmission of obscene or offensive content or disruption of normal flow of dialogue within these sites.

We provide the services “as is”. We do not guarantee that these websites and/or the services will operate securely, uninterputed, error-free or free of any virus or other harmful software. We assume no liability for any loss, damage or expense from errors, omission in the content or a loss of data.

You accept and acknowledge that APIS cannot be held responsible for any delay or disruptions to your access to the websites or to the purchased services as a result of suspension for any of the following reasons:

(i) the operation of the internet and the World Wide Web, including but not limited to viruses;

(ii) any firewall restrictions that have been placed on your network or the computer used to access the services;

(iii) failures of telecommunications links and equipment; and/or

(iv) updated browser issues.

Updates and Changes to Web sites

APIS monitors the contents, use, and user comments regarding these websites. We may make improvements, updates or changes to these websites and its contents at any time without notice to you. We may also modify these Terms without prior notice. By continuing to use these websites after modifications have been made to these Terms, you accept the modifications made to these Terms. You are responsible for regularly reviewing these General Terms and Conditions.

Data protection and privacy

Any details which you provide to us from which APIS can identify you are held and processed in accordance with APIS’s Data Protection Registration.

Generally, you can visit our websites without entering any personal information. On certain pages, we may ask you for personal information to provide a service or carry out a transaction that you have requested. You may also provide some personal information to us when you contact us.

APIS maintains appropriate technical and organisational measures to protect the personal data against accidental or unlawful destruction, or against accidental loss, unauthorised access, alteration or dissemination, and against other unlawful forms of processing. We do remind you, however, that no Internet transmission is ever completely secure. We also recommend that you sign out of your accounts or service at the end of each session. It is your responsibility to ensure the security of your password and not to reveal this information to others.

APIS will not disclose any personal information or information about your usage of our services, websites or mobile applications to unaffiliated third parties, except as required by law or unless we receive your prior consent or unless such publication is necessary for provision of services you have ordered or are currently using.

Although we try to link only to websites that share our high standards and respect for privacy, we are not responsible for the content, security, or privacy practices employed by other websites. Governing Law

These Terms, the use of the our websites and services and any non-contractual obligations arising out of or in connection with them will be governed by the law of Republic of Bulgaria.

Dispute Resolution

In the event any dispute or controversy arising out of or relating to these Terms, the
use of the our websites and services, you and APIS shall make our best efforts to
resolve the dispute as soon as possible.
If such amicable solution cannot be reached, any dispute or controversy should be brought before the competent Bulgarian court. The Bulgarian Courts have exclusive jurisdiction over all claims or disputes arising in relation to, out of or in connection with the websites and services and their use and these Terms.

These General Terms and Conditions are effective from 14 April 2016.
